Medium Term Notes (MTN)

Tradable, discountable debt instruments issued by banks — used as collateral and credit enhancement in structured transactions.

What is a Medium Term Note?

A Medium Term Note is a debt instrument issued by a bank, with a maturity typically ranging from one to ten years. MTNs earn annual interest before maturity and can be tradable or discountable, depending on the terms of issue.

In structured finance, MTNs are most commonly used for their collateral value: they can support recourse and non-recourse collateral arrangements and serve as credit enhancement in financing transactions.

Common use cases

  • Recourse collateral — supporting financing where the borrower retains liability.
  • Non-recourse collateral — underpinning structures where repayment is limited to the collateral itself.
  • Credit enhancement — strengthening the credit profile of a facility or transaction.
  • Discounting — where the instrument's terms allow it to be discounted for liquidity.

How we help

MTN transactions are complex and require careful verification of the instrument and the parties involved. We review the client's objectives, verify the proposed instrument and issuing bank, and advise on whether the structure is appropriate before any commitment is made.

High-risk area — caution required. MTN trading and monetisation attract significant fraud activity. We only proceed with verified instruments from established banks, and we recommend independent legal and due diligence review of any MTN mandate before funds change hands.

Frequently asked questions

Genuine bank-issued MTNs are legitimate instruments, but the secondary market for them is a common venue for fraud — including fictitious instruments and advance-fee schemes. Verification of the issuing bank and the instrument itself, through independent channels, is essential.

Yes — MTNs are commonly used to support recourse and non-recourse collateral structures and credit enhancement. Whether a specific MTN is acceptable collateral depends on the receiving institution's policies.

We review the mandate and the instrument, coordinate verification with banking channels, and support the documentation and delivery process — always subject to client qualification and due diligence.
